Supply of Service Agreement
This Supply of Service Agreement ("Agreement") is entered into between Initiative Interactive Limited ("Service Provider" or "Company") and our Clients (the “Client”), collectively referred to as "Parties." This Agreement governs the provision of services by the Service Provider to the Client and outlines the rights and responsibilities of both Parties.
Services Provided
The Service Provider shall provide the following services to the Client:
a. Vendor Management IT Systems: Management and optimisation of vendor-related IT systems, ensuring efficient integration, functionality, and support.
b. Digital Marketing Services: Strategic planning and execution of digital marketing campaigns, including SEO, content marketing, social media management, and analytics reporting.
c. Customer Service Support: Provision of customer support solutions, including call handling, issue resolution, and feedback management to enhance client satisfaction.
Service Level Agreement (SLA)
Specific performance standards, response times, uptime guarantees, and other agreed-upon service metrics will be defined in a separate Service Level Agreement (SLA) or appendix. This SLA, mutually agreed upon by the Parties, will be incorporated into this Agreement.
Term
This Agreement shall commence on the effective date specified in the SLA and will continue unless terminated earlier as outlined in this Agreement. Upon completion of the initial term, the Agreement will automatically renew for successive periods unless either Party provides written notice of termination before the end of the current term.
Fees and Payment
- The Client shall pay the Service Provider as agreed in a separate agreement, quotation, or SLA.
- In the event of late payment, the Service Provider reserves the right to:
- Suspend the provision of services until payment is received.
- Terminate this Agreement if payment delays are prolonged.
Additional fees for services outside the agreed scope may apply, subject to mutual agreement.
Confidentiality
Both Parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during the term of this Agreement. This includes, but is not limited to:
- Business strategies.
- Trade secrets.
- Customer information.
The obligation of confidentiality remains binding even after the termination of this Agreement.
Intellectual Property Ownership
Unless otherwise agreed in writing:
- Any intellectual property developed, created, or used by the Service Provider during the provision of services remains the sole property of the Service Provider.
- The Client is granted a limited licence to use the intellectual property strictly for the purposes outlined in this Agreement.
Limitation of Liability
To the fullest extent permitted by Hong Kong law, the liability of the Service Provider for claims arising out of this Agreement is limited to the total fees paid by the Client for the services rendered under this Agreement.
The Service Provider shall not be liable for:
- Indirect or consequential damages.
- Loss of revenue, data, or business opportunities arising from service interruptions.
Termination
This Agreement may be terminated by either Party:
- For Breach: If one Party materially breaches the Agreement and fails to remedy the breach within a reasonable period after receiving written notice.
- For Convenience: With a minimum of 30 days’ written notice by either Party.
Upon termination, the Client remains liable for any fees due for services rendered up to the termination date.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes arising from or in connection with this Agreement shall be resolved exclusively by the courts of Hong Kong.
Entire Agreement
This Agreement, along with the Terms and Conditions, Privacy Policy, and SLA, constitutes the entire agreement between the Parties concerning the services provided. It supersedes any prior agreements or representations, whether written or oral.
